Terms of Service

1. Acceptance of Terms

By accessing or using Incepta services, you agree to these Terms of Service. If you use the service on behalf of an organization, you confirm that you are authorized to bind that organization.

2. Service Scope

Incepta provides digital services including AI automation, web and product development, and performance marketing services. Specific deliverables, timelines, and fees are defined in proposals, statements of work, or service agreements.

3. Client Responsibilities

  • Provide accurate project and business information.
  • Provide timely approvals, feedback, and required account access.
  • Use services in compliance with applicable law and third-party platform policies.

4. Fees and Payments

  • Fees are invoiced based on the signed agreement or accepted quotation.
  • Unless otherwise stated, invoices are payable within 14 days.
  • Platform media spend and third-party subscription fees are separate from service fees.
  • Late payments may result in service pause until outstanding balances are settled.

5. Intellectual Property

Each party retains ownership of its pre-existing intellectual property. Upon full payment, client-specific deliverables are licensed or assigned according to the governing project agreement.

6. Acceptable Use

You may not use Incepta services to perform unlawful, abusive, fraudulent, or harmful activities.

This includes spam messaging, deceptive advertising, unauthorized data usage, and misuse of automated systems.

7. Third-Party Platforms

Some services depend on external platforms and APIs. You are responsible for complying with the terms of those platforms. Incepta is not liable for outages, policy changes, or account actions taken by third-party providers.

8. Confidentiality

Both parties agree to protect confidential information and use it only for the purpose of delivering and receiving contracted services.

9. Warranties and Disclaimers

Services are provided on a commercially reasonable basis. While Incepta follows professional standards, specific business outcomes are not guaranteed because performance depends on external factors, market conditions, and platform behavior.

10. Limitation of Liability

To the extent permitted by law, Incepta is not liable for indirect, incidental, or consequential losses. Total liability for direct claims is limited to fees paid for the affected service period under the applicable agreement.

11. Termination

Either party may terminate according to the notice period in the active agreement. On termination, outstanding fees remain payable and active work is closed based on completed scope.

12. Governing Law

These terms are governed by the laws of Malaysia unless otherwise stated in a signed master agreement.

13. Updates to Terms

We may update these terms periodically. Continued use of our services after updates indicates acceptance of the revised terms.
